These Terms of Service (“Terms”) constitute a legally binding agreement between you and TowGo Logistics, an Ontario corporation (“TowGo”, “we”, “us”, or “our”).

1. Acceptance of Terms

By creating an account, accessing, or using the TowGo platform — including our website, web application, mobile applications, and any associated services (collectively, the "Platform") — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on the Platform with a revised "Last updated" date. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

2. About TowGo Logistics

TowGo Logistics is an Ontario-based corporation whose principal activities include computing infrastructure provision, data processing, web hosting, and related digital services. Through its flagship product, the TowGo Platform, the company operates a digital marketplace that connects vehicle owners requiring towing or roadside assistance services ("Customers") with independent, licensed tow truck operators ("Drivers" or "Service Providers").

TowGo is a technology platform provider. TowGo does not itself provide towing, roadside assistance, or any transportation services. TowGo does not own, operate, or maintain any tow trucks or service vehicles. All towing and roadside services accessible through the Platform are provided by independent third-party Drivers.

3. Independent Contractor Relationship

All Drivers who use the Platform to offer towing and roadside assistance services are independent contractors, not employees, agents, joint venturers, or partners of TowGo Logistics. Nothing in these Terms or in the use of the Platform creates an employment relationship, agency, partnership, or joint venture between TowGo and any Driver.

As independent contractors, Drivers: (a) control the manner and means by which they perform services, including the choice of routes and methods; (b) set their own service rates through the Platform's rate matrix; (c) determine their own hours and availability; (d) provide and maintain their own vehicles, equipment, and tools; (e) are responsible for obtaining and maintaining all required licenses, permits, certifications (including Ontario Tow Truck Driver Certificates and CVOR certificates where applicable), and insurance; (f) are responsible for all fuel, maintenance, and operational costs; and (g) are solely responsible for their own taxes, deductions, and remittances, including HST/GST where applicable.

TowGo does not direct or control Drivers' work. The Platform provides technology infrastructure that facilitates matching, communication, navigation, and payment processing between Customers and Drivers. Drivers are free to accept or decline any service request at their sole discretion.

4. User Accounts and Eligibility

To use the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must be at least 18 years of age to use the Platform.

For Drivers, additional eligibility requirements apply, including but not limited to: a valid Ontario driver's licence, proof of vehicle insurance meeting Ontario minimum requirements, a valid Ontario Tow Truck Driver Certificate (where applicable), Commercial Vehicle Operator Registration (CVOR) certificate (where applicable), vehicle ownership documentation, and successful completion of our verification process.

TowGo reserves the right to suspend or terminate any account at any time, with or without notice, for any reason including violation of these Terms, fraudulent activity, or failure to maintain required credentials.

5. Services and Platform Use

The Platform enables Customers to request towing and roadside assistance services, view transparent pricing based on service type, vehicle weight class, and distance, track Drivers in real-time, communicate via in-app chat, and process secure digital payments. Available service types include towing, flat tire assistance, jump starts, fuel delivery, lockout assistance, winching, and accident recovery.

Service pricing is calculated using each Driver's posted rate matrix, combined with distance, vehicle weight class, and any applicable surge pricing. A deposit of 10% of the total quoted price is collected from the Customer at the time of booking. The remaining balance is collected upon service completion. All prices are quoted in Canadian Dollars (CAD) and include applicable Ontario HST (13%).

Customers acknowledge that ETAs, quoted prices, and service availability are estimates and may vary due to traffic, weather, road conditions, or other factors beyond TowGo's control.

6. Payments, Commissions, and Payouts

All payment processing is handled securely through Stripe, a PCI-DSS Level 1 certified payment processor. Customer payment information is stored and processed by Stripe and is never stored on TowGo servers.

TowGo charges Drivers a platform commission on each completed service transaction. Commission rates vary based on the Driver's subscription tier: Free tier (15%), Basic tier (12%), Professional tier (10%), and Enterprise tier (8%). Commissions are calculated on the service subtotal (excluding HST).

Driver earnings are automatically transferred to the Driver's connected Stripe Express account after each completed service, subject to Stripe's standard transfer processing times. Drivers are solely responsible for reporting and remitting all applicable taxes on their earnings.

Subscription plans are billed monthly via Stripe. Subscription fees are non-refundable except where required by applicable law. Drivers may cancel their subscription at any time, effective at the end of the current billing period.

7. Cancellation Policy

Customers may cancel a service request at any time before the Driver begins performing the service. Cancellation fees apply as follows: cancellations made within 5 minutes of booking are free of charge; cancellations made after 5 minutes but before a Driver accepts incur a fee of $25 CAD; cancellations made after a Driver has accepted the request incur a fee of $50 CAD. Cancellation fees are deducted from the Customer's deposit, with any remaining balance refunded to the original payment method.

Drivers may also cancel an accepted assignment; however, frequent cancellations may result in reduced visibility in the Driver matching algorithm, rating adjustments, or account suspension.

8. Ratings, Reviews, and Photo Verification

After service completion, Customers may rate the Driver on a scale of 1 to 5 and leave a written review. Ratings are aggregated and displayed on the Driver's public profile. Both Customers and Drivers are expected to provide honest, accurate ratings and reviews.

Drivers are required to upload destination photos and service completion photos before requesting final payment. These photos serve as evidence of service delivery and are stored securely on TowGo's infrastructure. An OTP (One-Time Password) verification code is used to confirm service commencement at the pickup location.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOWGO LOGISTICS AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR: (a) any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the services provided by independent Drivers; (b) any loss or damage to vehicles, property, or persons during or resulting from towing or roadside assistance services; (c) any disputes between Customers and Drivers regarding service quality, pricing, or conduct; or (d) any interruption, delay, or failure of the Platform.

TowGo acts solely as a technology intermediary. All towing and roadside services are provided by independent Drivers who maintain their own insurance and licensing. Customers and Drivers agree to resolve any service-related disputes directly between themselves.

In no event shall TowGo's total aggregate liability exceed the amount of platform fees paid by you in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TowGo Logistics, its directors, officers, employees, contractors, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any services you provide or receive through the Platform; or (e) any dispute between you and another Platform user.

11. Intellectual Property

The Platform, including all content, features, functionality, software, code, design, text, graphics, and trademarks, is owned by TowGo Logistics and is protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for its intended purpose.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Platform or any part thereof without our prior written consent.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of Ontario.

Before initiating any legal proceeding, you agree to first attempt to resolve the dispute informally by contacting us at business@towgologistics.ca. If the dispute cannot be resolved informally within 30 days, either party may proceed with formal legal action.
